Terms of Service

1. Purpose

These Terms of Service govern the contractual relationship between Contraste Ltd (the "Provider") and any client (the "Client") subscribing to its web development, automation, AI, and digital consulting services.

2. Services

Services offered include, but are not limited to: performance audits, website development, AI agent creation, workflow automation, maintenance and technical support. The details of each service are defined in the accepted quote or order.

3. Pricing and payment

Prices are quoted in Canadian Dollars (CAD$) or American Dollars (USD$) as per the estimate. Payment is processed via Stripe. A 30% deposit is required upon ordering, with the balance due upon delivery, unless otherwise agreed.

4. Deadlines

Delivery timelines are indicative and communicated on a case-by-case basis. No delay shall give rise to damages, unless specifically stipulated in the contract.

5. Intellectual property

Unless otherwise stated, source code and deliverables are transferred to the Client upon full payment. Open-source tools, libraries and frameworks remain under their respective licences.

6. Right of withdrawal

For digital services commenced with the Client's agreement before the end of the 14-day cooling-off period, the Client expressly waives their right of withdrawal in accordance with the Consumer Contracts Regulations 2013.

7. Liability

Contraste Ltd's liability is limited to the total amount paid by the Client for the service in question. Contraste Ltd shall not be liable for indirect damages, data loss or loss of profit.

8. Termination

Either party may terminate the contract in the event of a serious breach not remedied within 10 days of written notice. Amounts due for work already completed shall remain payable to the Provider.

9. Applicable law

These terms are governed by Canadian law. Any dispute shall be subject to the jurisdiction of the competent courts of Canada.
